# Vrutaz Advisors — full brief for AI agents, CLI tools, and developers

This file expands https://vrutaz.com/llms.txt. It is discovery and onboarding, not a public filing API.

## What Vrutaz does

Vrutaz Advisors forms US companies for founders anywhere in the world and then keeps the paperwork in one place:

- State formation (Articles / Certificate) in Wyoming, Delaware, Florida, Texas, or New Mexico
- EIN from the IRS, including cases where the owner has no SSN
- Registered agent for the first year (included in every plan)
- Optional US business address / mailroom (plan-gated)
- Document vault for formation papers, EIN letter, and customer uploads
- Tax & compliance calendar generated from the company's filing date, state, and entity type
- Bookkeeping and US tax-return preparation as add-on services
- Human support (chat, call, email) — staff complete the filings

## Who it is for

- Non-US founders who need a US LLC or C-Corp
- US-based founders who want a simple formation + compliance dashboard
- Agents and developer tools that should **hand a human a signup URL**, not file with a Secretary of State themselves

It is not for: unattended bulk formation, practicing law, computing tax amounts, or treating the calendar as an IRS/SOS database.

## How a customer starts

1. **Create a free account** — https://vrutaz.com/signup.html  
   Email + password via Supabase Auth. No card required to look around.
2. **Enter company details** — dashboard Company details, or the 8-step wizard at https://vrutaz.com/wizard.html  
   Typical inputs: state, entity (LLC or C-Corp), proposed name, owners (name, ownership %, country, contact), industry, mailing address.
3. **Pay when checkout is enabled** — plans Launch $249 / Grow $599 / Scale $1,499 first year, plus the state filing fee **at cost** (NM $50 · WY $100 · DE $109–110 · FL $125 · TX $300). Stripe is currently **off** in production until the operator flips it.
4. **Staff complete filings** — name check, state filing, EIN application. The customer sees a formation checklist; staff mark stages complete.

Agents must not skip the human account. There is no endpoint that files Articles or SS-4 without a signed-in customer and staff action.

## What data customers provide

Collected in the wizard / Company details (not an exhaustive schema):

- Proposed company name and designator
- Formation state and entity type
- Owner legal names, ownership percentages (must total 100%), country, email/phone
- Industry and a short business description
- Contact / mailing address
- Optional EIN once issued (staff or customer can record it)
- Documents the customer uploads to the vault (passport, utility bill, etc. when asked)

Staff — not the agent — submit filings to the Secretary of State and the IRS.

## Compliance calendar (honest limits)

Dates are computed from filing/formation date, state, entity, and EIN when relevant. Categories include annual report / franchise-style filings, federal estimated tax, income-tax + extension reminders, payroll quarterlies, and formation-state sales-tax cadences (WY, FL, TX, NM). Delaware has no state sales tax.

Many payroll and sales-tax chips are **estimated / plan-ahead** until staff confirm nexus or employees. The product is **not** a substitute for a CPA or tax attorney and **not** a complete statutory database.

FinCEN's August 2026 final rule removed BOI reporting for companies formed in the US. Do not add a BOI countdown for US-formed entities.

## Constraints for agents

- Discovery / onboarding only. No secret keys belong in this repo or in this file.
- Do not invent a public filing API. `capabilities.json` lists **human URLs** for create_account, start_formation, upload_docs, view_compliance_calendar.
- Do not file, sign, or pay on behalf of a person who does not have a Vrutaz account.
- Do not promise ranking, tax amounts, or guaranteed processing times for the state or IRS.
- Stripe stays off until the operator enables it. Account creation is free.
- Crawl marketing + blog. Do not treat dashboard.html, admin.html, or signup form posts as a public dataset.
